Terms of Service

These Terms of Service (“Terms”) are entered into by and between Motionaly, LLC (“Motionaly,” “we,” “us,” or “our”) and you, the individual or entity accessing or using the Motionaly platform, including any related websites, applications, APIs, and services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Motionaly, LLC.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you confirm that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into this agreement
  • You are not prohibited from using the Service under applicable law
  • You are responsible for ensuring that all users who access the Service through your account comply with these Terms

If you are using the Service on behalf of a company, organization, or other entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.

2. Service Description

Motionaly provides an AI-powered platform for generating animated video content (“Motion Graphics”) from text prompts. The Service includes:

  • Text-to-animation generation using artificial intelligence models
  • Template library and customization tools
  • Video rendering and export capabilities
  • Project storage and management
  • Collaboration and sharing features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We do not guarantee uninterrupted access to the Service.

3. Account Registration

3.1 Account Creation. To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security. You are solely responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

3.3 Account Termination. We reserve the right to suspend or terminate your account at our sole discretion for any violation of these Terms or any applicable law.

4. Subscriptions and Payments

4.1 Paid Subscriptions. Motionaly offers subscription plans with varying usage limits and feature access. By selecting a paid subscription, you agree to pay the applicable fees as described on our pricing page.

4.2 Billing. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are non-refundable except as required by law or as explicitly stated in this Agreement.

4.3 Free Tier. We may offer a free tier with limited features and usage. We reserve the right to modify, limit, or discontinue the free tier at any time without notice.

4.4 Usage Limits. Each subscription plan includes limits on the number of generations, renders, or other operations (“Usage Limits”). Usage Limits are measured on a monthly basis unless otherwise stated. Unused usage does not roll over to subsequent periods.

4.5 Failed Payments. If a payment fails, we may suspend your account access until payment is received. We reserve the right to charge a fee for failed payments or payment retries.

4.6 Price Changes. We may change our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following notice.

5. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated by reference into these Terms. You agree to comply with the Acceptable Use Policy and all applicable laws and regulations.

6. Content Ownership

6.1 Your Content. You retain all ownership rights in any content you provide to the Service (“User Content”), including text prompts, uploaded assets, and generated animations. You represent that you have all necessary rights to your User Content and that it does not infringe on the rights of any third party.

6.2 Generated Content. Subject to these Terms and your payment obligations, Motionaly grants you a non-exclusive, worldwide, perpetual, irrevocable license to use, reproduce, modify, distribute, publicly display, and create derivative works from animations generated through the Service (“Generated Content”).

6.3 Motionaly Rights. We retain all rights in the Service itself, our technology, trademarks, and any content we create that is not specific to you, including but not limited to: our AI models, the Motionaly platform interface, and general knowledge learned from training (which does not include your specific data).

6.4 Feedback. If you provide suggestions, ideas, or other feedback about the Service (“Feedback”), we may use such Feedback without obligation to you.

7. Intellectual Property

The Service and its contents are protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or distribute the Service or any content without our written permission
  • Reverse engineer, decompile, or disassemble the underlying software or AI models
  • Use our trademarks without prior written consent
  • Remove or alter any proprietary notices on the Service

Third-party AI models (including models from MiniMax, Moonshot AI, OpenAI, and Anthropic) are used under their respective terms of service. Your use of these models through the Service is subject to those third-party terms.

8. Privacy and Data

Our collection and use of your personal information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy. The Privacy Policy also describes how we use content you provide for providing the Service.

You acknowledge that AI models require data to generate content. You are responsible for ensuring that any User Content you submit does not contain personal information of third parties without their consent, or sensitive data you are not authorized to share.

9. Third-Party Services

The Service may integrate with or depend on third-party services, including but not limited to: AI model providers (MiniMax, Moonshot AI, OpenAI, Anthropic), payment processors (LemonSqueezy, Stripe), and cloud infrastructure providers. These third-party services are governed by their own terms and policies. We do not control and are not responsible for the practices of any third-party providers.

If you use LemonSqueezy to purchase subscriptions, LemonSqueezy’s Terms of Service and Privacy Policy apply to your transaction.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI-GENERATED CONTENT. THE SERVICE USES AI MODELS THAT GENERATE CONTENT BASED ON PROMPTS. AI-GENERATED CONTENT MAY BE UNPREDICTABLE, MAY CONTAIN ERRORS, AND MAY NOT ALWAYS REFLECT YOUR INTENT. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND APPROVING ALL GENERATED CONTENT BEFORE USE. WE DO NOT GUARANTEE THAT GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSE.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOTIONALY, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL; OR (B) AGGREGATE LIABILITY EXCEEDING THE AMOUNTS PAID BY YOU TO MOTIONALY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if we were advised of the possibility of such damages.

Some jurisdictions do not allow the limitation of liability for consequential damages, so the above limitation may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Motionaly, LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your violation of these Terms or any applicable law
  • Your User Content, including any claims that your User Content infringes on the rights of a third party
  • Your Generated Content
  • Your misuse of the Service
  • Your account(s) or the activity thereunder

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense.

13. Modifications to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the “Last updated” date. Material changes will be communicated via email or a notice on the Service. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

14. Termination

14.1 Termination by you. You may terminate your account at any time by contacting us or through the account settings on the Service. Termination does not entitle you to any refund of fees paid.

14.2 Termination by us. We may terminate or suspend your access to the Service, in whole or in part, at our sole discretion, with or without notice, for any reason, including but not limited to: violation of these Terms, non-payment, fraud, illegal activity, or prolonged inactivity.

14.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall survive, including but not limited to: Content Ownership, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and General Provisions.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

16. Dispute Resolution

16.1 Informal Resolution. Before initiating any formal dispute resolution, you agree to contact us and attempt to resolve any claim informally for at least 30 days.

16.2 Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (“AAA”). The arbitration shall take place in Wyoming. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17. General Provisions

  • Entire Agreement. These Terms, together with the Acceptable Use Policy and Privacy Policy, constitute the entire agreement between you and Motionaly regarding the Service.
  • Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment. We may assign these Terms, in whole or in part, at any time without notice to you. You may not assign these Terms without our prior written consent.
  • Notices. All notices to Motionaly should be sent to legal@motionaly.app.
  • Force Majeure. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war, or infrastructure failures.
